Welcome to NardAngel Exquisite Affairs ("NardAngel," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your use of nardangelevents.com (the "Site"), our forms, booking and scheduling tools, text messaging program, and our event planning, design, décor, rental, and coordination services (collectively, the "Services"). By using the Site or Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.

1. Our Services

NardAngel Exquisite Affairs provides event planning, design, décor, setup and teardown, rentals, and day-of coordination for weddings and engagements, birthdays and anniversaries, family events, social and special events, corporate events, and intimate gatherings, serving the New England area and beyond. Descriptions of Services on the Site are for general information only. The specific scope, deliverables, pricing, and timeline for your event will be set out in a written proposal and service agreement.

2. Inquiries, Consultations, and Quotes

• Submitting an inquiry form or booking a consultation does not reserve your event date or create a contract.
• Quotes and proposals are estimates based on the information you provide and are valid for the period stated on the proposal (or 14 days if no period is stated). Pricing may change if event details, guest count, venue, or scope change.
• Your date is reserved only after a signed service agreement and the required deposit or retainer are received.

3. Service Agreement Controls

Each event is governed by a separate written service agreement signed by you and NardAngel. If there is any conflict between these Terms and your signed service agreement, the service agreement controls.

4. Deposits, Payments, and Fees

• Deposit/Retainer: A deposit or retainer is required to secure your date. Unless your service agreement states otherwise, the deposit is non-refundable because we reserve your date, decline other bookings, and begin planning work upon receipt.
• Balance: The remaining balance is due by the date stated in your service agreement, typically a few weeks before the event. Services may be paused or withheld if payments are not received on time.
• Late payments: Late payments may be subject to a late fee as stated in your service agreement.
• Payment processing: Payments may be made through our secure third-party payment processors. You authorize us to charge the payment method you provide for amounts due under your agreement.
• Vendor costs: Unless expressly included in your proposal, payments to third-party vendors (venue, catering, photography, entertainment, etc.) are separate from our fees and are your responsibility.

5. Changes, Cancellations, and Rescheduling

• Changes by client: We are happy to accommodate changes to décor selections, design, or scope up to the cutoff date stated in your service agreement. Changes may affect pricing and availability.
• Cancellation by client: Cancellations must be made in writing. Deposits are non-refundable, and additional cancellation fees may apply based on how close the cancellation is to the event date, as stated in your service agreement. Any costs already incurred for custom items, rentals, or vendor commitments made on your behalf are non-refundable.
• Rescheduling: We will make reasonable efforts to transfer your booking to a new date, subject to availability. Rescheduling fees and price adjustments may apply.
• Cancellation by NardAngel: If we must cancel for reasons within our control, we will refund amounts paid for Services not performed, or help secure a qualified replacement planner with your approval.

6. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including severe weather, natural disasters, fire, flood, epidemics, government orders, venue closures, power outages, labor disputes, or acts of war or terrorism. In such cases, we will work with you in good faith to reschedule or adjust Services. Refunds, if any, will be handled as described in your service agreement.

7. Third-Party Vendors and Venues

We may recommend, coordinate with, or book third-party vendors and venues on your behalf. These vendors are independent businesses and are not employees or agents of NardAngel. While we carefully select partners we trust, we are not responsible for the products, services, acts, omissions, delays, or failures of any third-party vendor or venue. Your agreements with vendors are between you and that vendor.

8. Client Responsibilities

• Provide accurate and timely information, decisions, and approvals needed to plan your event.
• Confirm that the venue permits our setup, décor, and timeline (including access times, open flame, wall attachments, and load-in/load-out rules) and obtain any required permits.
• Ensure the conduct and safety of your guests, including responsible alcohol service as required by your venue and caterer.
• Provide a safe working environment and reasonable access for our team at the venue.

9. Rentals and Décor

• Rental items, furniture, linens, and décor provided by NardAngel remain our property unless purchased outright, as stated in your agreement.
• You are responsible for loss, theft, or damage to rental items caused by you, your guests, or the venue during your event, other than normal wear and tear. Repair or replacement costs may be charged to you.
• Actual décor items, colors, and florals may vary slightly from photos, samples, or mockups due to availability and seasonality. We will substitute items of equal or greater value and similar style when needed.

10. Photos, Portfolio, and Reviews

We may photograph or record our designs, décor, and setups at your event for use in our portfolio, website, and social media. We will not publish photos in which you or your guests are clearly identifiable without your permission, as described in your service agreement. If you share testimonials or reviews with us, you grant us permission to display them on our Site and marketing materials.

11. SMS / Text Messaging Terms

By providing your mobile number and opting in through our forms, booking tools, or by texting us, you agree to receive text messages from NardAngel Exquisite Affairs.

12. Website Use

• You agree to use the Site only for lawful purposes and not to interfere with its operation, attempt unauthorized access, or submit false or misleading information.
• We may update, change, or discontinue any part of the Site at any time without notice.

13. Intellectual Property

All content on the Site, including text, logos, graphics, photographs, event designs, mood boards, and proposals, is owned by or licensed to NardAngel Exquisite Affairs and is protected by copyright and trademark laws. You may not copy, reproduce, distribute, or use our content or designs for commercial purposes without our written permission. Design concepts and proposals we prepare for you are for your personal event use only.

14. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, NardAngel disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, NardAngel Exquisite Affairs and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services. Our total liability for any claim related to the Services will not exceed the total fees you paid to NardAngel for the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless NardAngel Exquisite Affairs and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms, the actions of your guests, or your violation of any law or third-party rights.

17. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Before filing any claim, both parties agree to first try to resolve the dispute informally by contacting each other in writing. Any legal action will be brought in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of those courts.

18. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy and any signed service agreement, make up the entire agreement between you and NardAngel regarding the Site and Services.

19. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page with an updated "Last Updated" date. Your continued use of the Site or Services after changes are posted means you accept the updated Terms.
